End user license agreement

This Licence is between CareKindle and the home-care agency that subscribes (that is “you”). It also covers the people you authorize to use CareKindle on the agency’s behalf — your staff, and the caregivers and family members you invite into their own secure spaces. You are responsible for their use of the software.

For as long as your subscription is active and in good standing, CareKindle grants you a limited, non-exclusive, non-transferable, revocable right to access and use the software for your agency’s own home-care operations, in line with the Terms of Service. We may release updates and improvements to the software from time to time; this Licence covers those too.

• Resell, rent, sublicense or otherwise make CareKindle available to anyone outside your agency’s own use.
• Copy, modify, translate, reverse-engineer or attempt to extract the source code of the software, except where the law expressly allows it.
• Use CareKindle to build or train a competing product or service.
• Bypass, disable or interfere with any security, access control or usage limit.
• Use the software unlawfully, or in a way that infringes the privacy or rights of clients, caregivers or anyone else.

The records your agency keeps in CareKindle belong to your agency and its clients — not to us. How we handle that information is set out in our Privacy Policy.

CareKindle and its licensors own the software itself, including its design, code and trademarks. Nothing in this Licence transfers that ownership to you. We may use de-identified, aggregated operational data to run, secure and improve the service, consistent with the Privacy Policy.

You are responsible for keeping sign-in credentials secure, for the actions taken under your accounts, and for making sure the people you invite use CareKindle appropriately. Where your agency turns on stronger sign-in protections (such as multi-factor authentication), authorized users are expected to follow them.

Connecting an outside service to CareKindle — for example QuickBooks Online for accounting — is optional and entirely your choice. When you connect one, you authorize CareKindle to exchange with that provider only the data the integration needs to do its job, and you authorize that provider to receive it.

Your use of any third-party service is governed by that provider’s own terms and privacy policy, not by CareKindle. We do not control how a connected provider uses the data you send it. You can disconnect an integration at any time from your settings; records already shared with that provider stay with them under their terms.

We work to keep CareKindle available and to improve it over time. We may add, change or remove features, and we may set reasonable limits to keep the service stable and secure. The service is provided as described in the Terms of Service.

Except for what is expressly stated in the Terms of Service, CareKindle is provided “as is” and “as available”, and we make no other warranties of any kind, whether express or implied. We do not warrant that the software will be uninterrupted or error-free. Your remedies and our responsibilities are those set out in the Terms of Service.

This Licence lasts for as long as your subscription does. It ends automatically if your subscription ends, or if you materially breach this Licence or the Terms of Service and do not fix it within a reasonable time after we ask. When the Licence ends you must stop using the software; your rights to export or retrieve your data are set out in the Terms of Service and Privacy Policy.

This Licence is governed by the laws of the Province of Ontario and the federal laws of Canada that apply there, and the courts of Ontario have jurisdiction over disputes.

This Licence is part of your agreement with CareKindle, together with the Terms of Service and the Privacy Policy. If there is a conflict about your right to use the software, this Licence governs that point; for everything else, the Terms of Service govern. We may update this Licence; every revision is dated above, and material changes are flagged to agency account owners before they take effect.
